Terms of Service
These Terms are provided for the KiwiDock beta and should be reviewed by counsel before relying on them for production or regulated use. By creating an account or using the Service, you agree to these Terms.
1. Who we are
“KiwiDock,” “we,” “us,” and “our” refer to the operator of the KiwiDock software-as-a-service at kiwidock.com. Contact: derek@kiwidock.com. No separate registered office address is published in these beta documents; use the email above for legal notices.
2. The Service
KiwiDock provides multi-tenant business tools for shops and teams (for example CRM, quotes, projects, documents, and related workflows). Features may change during beta. We may add, change, or remove functionality with or without notice.
3. Accounts and tenants
- You must provide accurate registration information and keep credentials secure.
- Each shop/tenant is responsible for its users, roles, and customer data entered into the Service.
- You must be at least 18 years old (or the age of majority where you live) to create an account.
- You are responsible for activity under your account and for notifying us of unauthorized use.
4. Beta status
The Service is offered as a beta. It may contain bugs, incomplete features, or temporary outages. We do not guarantee uninterrupted or error-free operation. You use the Service at your own risk and should maintain your own backups of critical business records.
5. Acceptable use
You agree not to:
- Violate law, others’ rights, or these Terms
- Probe, scan, or attack the Service, or attempt to bypass security or tenancy isolation
- Upload malware, or content that is unlawful, harassing, or infringing
- Resell, scrape, or abuse the Service in a way that harms performance or other tenants
- Use the Service to send unsolicited bulk email in violation of applicable anti-spam laws
- Misrepresent your identity or affiliation when using public forms or customer-facing links
We may suspend or terminate access for violations or to protect the Service and other customers.
6. Your content and customer data
You retain ownership of data you and your users submit (“Customer Data”). You grant us a limited license to host, process, back up, and display Customer Data solely to provide and improve the Service, comply with law, and prevent abuse. You represent that you have the rights and notices required to process Customer Data in the Service (including personal data of your customers and leads). 7. Plans, billing, and third-party payments
Free and paid plans may be offered. Fees, if any, will be disclosed at purchase or upgrade. Platform subscription billing may use Stripe (or a similar processor). Separately, tenants may enable payment tools (for example Stripe or Square) to charge their customers; those transactions are between the tenant and their processor/customers, not platform sales by us unless we expressly state otherwise.
8. Intellectual property
The Service, software, branding, and documentation are owned by us or our licensors. Except for your Customer Data, you receive a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. Feedback you submit may be used by us without obligation to you.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect it and use it only for performing under these Terms, except where disclosure is required by law.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your requirements or be uninterrupted, secure, or error-free.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU ARE ON A FREE PLAN. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
12. Indemnity
You will defend and indemnify us against claims arising from your Customer Data, your use of the Service in violation of these Terms or law, or disputes between you and your customers or end users.
13. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for breach, non-payment, risk to the Service, or at the end of beta. Upon termination, your right to use the Service ends. We may delete Customer Data after a reasonable retention period unless law requires longer retention, subject to our Privacy Policy and any written data-return process we publish.
14. Changes
We may update these Terms. Material changes will be posted on this page with an updated effective date. Continued use after the effective date constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. Courts located in New York will have exclusive jurisdiction over disputes, except that we may seek injunctive relief in any venue for IP or security threats.
